Artificial intelligence company Anthropic told U.S. regulators Monday that its own technology could be used to build chemical weapons or enable authoritarian rulers to crack down on citizens. The San Francisco company's filing with the Securities and Exchange Commission, submitted Oct. 27, 2026, states that advanced AI systems "pose catastrophic or existential risks to humanity" if misused, replicated or weaponized without sufficient safeguards.

Anthropic's filing devotes 93 of its 335 pages to risk factors, the disclosures that outline what could hurt a shareholder's investment. For comparison, SpaceX's risk factors occupy 38 pages of a document exceeding 250 pages. The filing covers Anthropic's finances, executive compensation and dividend policy alongside those risk disclosures.

The company's founders wrote in a letter to prospective shareholders that the company was "founded in part to help the world realize AI's benefits and avoid its dangers." Anthropic CEO Dario Amodei warned in September that within six to 12 months AI could lead a swarm of agents capable of taking over the internet. Anthropic disclosed that same month it had blocked attempts to use its models for cyberattacks, surveillance and research toward biological weapon development.

The filing also identifies limits on compute, the processing power needed to train and test AI models, as a business risk. Anthropic said it could fail to secure enough of it or allocate it poorly across workloads. The company also flags community opposition to data centers, citing public controversy and regulatory scrutiny over environmental impact, land and water use, and power resource allocation. Anthropic's customer base is concentrated among a small number of clients, including SpaceX and Microsoft, so a reduction by any one of them could affect revenue.

Brian Mulberry, chief market strategist at Zacks Investment Research, said U.S. exchanges require companies to disclose risks "very clearly" so investors understand what they face when putting money into a newly public stock. "One of the things that's great about our capital markets here domestically is the level of transparency that you must commit to," Mulberry said.

Anthropic's filing states that as AI models grow more autonomous and take consequential actions with less human oversight, systems could "take harmful actions independently and at scale without human intervention." The company also said AI models now contribute to its own research and development, creating a risk that progress could move beyond its ability to evaluate and safeguard new models.
